Terms of Service

Agreement to Terms

By accessing or using ZAAI ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Platform.

These Terms constitute a legal agreement between you (the "Customer", "you") and Zero To Advanced AI, Unipessoal Lda. ("ZAAI", "we", "us").

Description of Service

ZAAI builds two SaaS products (Horizon, AI demand forecasting for retail and manufacturing, and Pliney, the grounded AI agent for operations teams) plus engineering sprints for enterprise systems that don't fit a SaaS product.

The Platform includes: demand forecasting and scenario simulation models, replenishment recommendations, agentic operational assistants, integrations with third-party systems, and associated documentation and support.

Account Registration and Access

You must create an account to use the Platform. You agree to provide accurate and complete information.

You are responsible for maintaining the confidentiality of your account credentials.

You are responsible for all activities that occur under your account.

You must be at least 18 years old and have authority to bind your organization to these Terms.

You may not share your account or allow unauthorized access.

Subscription and Payment

Access to the Platform requires a paid subscription as described in your order form.

Fees are billed monthly or annually based on your selected plan.

All fees are non-refundable except as required by law or expressly stated in these Terms.

We may change pricing with 30 days' notice. Changes apply to your next renewal.

Failure to pay may result in suspension or termination of your account.

Use Restrictions

You may not: Reverse engineer, decompile, or attempt to derive source code; Resell, lease, or provide access to third parties; Use the Platform for illegal purposes; Interfere with or disrupt the Platform's operation; Attempt to gain unauthorized access to our systems; Remove or modify proprietary notices; Use the Platform to develop competing products.

Customer Data

You retain ownership of all data you provide to the Platform ("Customer Data").

You grant us a license to use Customer Data solely to provide and improve the Service.

You represent that you have all necessary rights to provide Customer Data to us.

You are responsible for the accuracy and legality of Customer Data.

We will not share your Customer Data with other customers or use it for their benefit.

Intellectual Property

The Platform, including all software, algorithms, models, and documentation, is owned by ZAAI and protected by intellectual property laws.

We grant you a limited, non-exclusive, non-transferable license to use the Platform during your subscription term.

All feedback, suggestions, or ideas you provide about the Platform become our property.

Service Level and Support

We strive to maintain 99.5% uptime for Professional and Enterprise plans.

Support is provided via email, chat, or phone based on your plan level.

We do not guarantee specific forecast accuracy levels, though we provide typical ranges.

Scheduled maintenance will be communicated in advance when possible.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZAAI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST DATA.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY, SO THESE LIMITS MAY NOT APPLY TO YOU.

Warranties and Disclaimers

THE PLATFORM IS PROVIDED 'AS IS' WITHOUT WARRANTIES OF ANY KIND.

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE OR UNINTERRUPTED.

Forecasts and recommendations are probabilistic and based on historical data. Actual results may vary.

Termination

You may terminate your subscription at any time. Access continues until the end of your billing period.

We may suspend or terminate your account for: Violation of these Terms; Non-payment; Illegal or harmful activity; Extended period of inactivity.

Upon termination, we will provide a 30-day window to export your data, after which it will be deleted.

Governing Law

These Terms are governed by the laws of Portugal.

Disputes shall be resolved in the courts of Porto, Portugal.

If you are a consumer in the EU, you retain protections under your local consumer law.

Changes to Terms

We may modify these Terms at any time. Material changes will be communicated 30 days in advance.

Continued use after changes constitutes acceptance of the updated Terms.
